Public Offer Agreement

This document constitutes an official public offer by the WinRate AI Service Administration to enter into a paid services agreement for digital access to WinRate AI (the “Agreement”) on the terms set out below, pursuant to Article 437(2) of the Civil Code of the Russian Federation.

The Agreement is entered into when the Customer accepts this Offer by paying the full price of the selected plan on the payment page. Acceptance confirms that the Customer has reviewed, understood and accepted this Offer without reservations.

The current version of this Offer is published at https://winrateai.win and/or on the payment page. The plan terms displayed immediately before payment form an integral part of the Agreement.

1. Terms and Definitions

WinRate AI Service means the digital sports information and analytics service available through https://winrateai.win and the Telegram application at https://t.me/WinRateAI_bot. It may include sports event data, probability estimates, AI-generated analysis, curated selections and a history of published materials.

Service means time-limited digital access to the Pro plan features and materials in the scope described on the website, in the Service interface or on the payment page.

Customer means a legally capable individual aged 18 or over, or a legal entity or individual entrepreneur, that has paid for and uses the Service under this Offer.

Account means the Customer’s Telegram and/or Service profile through which access is provided.

Payment Page means a secure page operated by a payment provider where the Customer selects a payment method and confirms payment.

2. Subject Matter

The WinRate AI Service Administration shall grant the Customer digital access to paid WinRate AI features and materials for the term of the selected plan, and the Customer shall pay for the Service.

The Service is provided remotely via the Internet. The place of performance is the Customer’s location when using the Service.

WinRate AI is an information and analytics service. The WinRate AI Service Administration is not a bookmaker, does not accept wagers, does not hold or manage the Customer’s gambling funds, and does not guarantee prediction accuracy, winnings, income or any other financial outcome.

The available features, sports coverage, publication volume and Service interface may be updated. Such updates must not deprive the Customer of paid digital access to the plan’s core functionality for the remaining paid term.

3. Formation of the Agreement and Access

Before payment, the Customer shall review the plan description, price, term, this Offer, the Privacy Policy and the Refund Policy.

Successful payment in full for the selected plan constitutes acceptance of this Offer. By paying, the Customer confirms that the submitted information is accurate and that the Customer is authorised to use the selected payment instrument.

Access is activated automatically or within a reasonable technical period after payment confirmation. Access is linked to the Telegram account specified or used during purchase.

If access is not activated after a successful payment, the Customer shall contact support@winrateai.win and provide the Telegram ID, payment date, amount and order identifier. The Customer must never send a full card number, CVC/CVV, password or confirmation code.

The Customer is responsible for maintaining a compatible device, Internet access and an operational Telegram account.

4. Plans, Prices and Payment

The following base access options apply as of the effective date. The final amount and currency are always displayed before the Customer confirms payment.

Pro — 30 days: 990 RUB, 12.99 USD or 500 Telegram Stars.

Pro — 365 days: 9,504 RUB, 124.99 USD or 4,800 Telegram Stars.

Payment may be made by bank card, through the Russian Faster Payments System (SBP), with Telegram Stars, or by another lawful cashless method available on the payment page. Available methods depend on the Customer’s country, currency and payment provider.

Each payment is a one-time payment. Automatic renewal and recurring charges do not apply unless expressly disclosed and separately confirmed by the Customer before payment.

The Customer’s payment obligation is fulfilled when the payment provider confirms successful payment. The WinRate AI Service Administration provides payment confirmation in accordance with applicable requirements.

Bank fees, payment system fees, currency conversion charges or network fees may be charged by the relevant third parties and are either disclosed before payment or governed by their applicable rules.

5. Service Term

The access term begins upon activation and lasts for 30 or 365 calendar days, depending on the selected plan.

The Service consists of maintaining the technical ability to use the paid features throughout the access term. The Customer’s failure to use the Service does not, by itself, extend the access term.

Short-term maintenance or outages involving Telegram, hosting, payment systems or data suppliers do not constitute a breach provided that the WinRate AI Service Administration takes reasonable steps to restore access.

6. Cancellation and Refunds

The Customer may withdraw from the Agreement as permitted by applicable law, subject to payment for the portion of the Service already provided and reimbursement of documented expenses incurred by the WinRate AI Service Administration before cancellation.

A refund request must be sent to support@winrateai.win and include the Telegram ID, payment date and amount, order identifier and a brief explanation. The WinRate AI Service Administration may request information necessary to identify the payment but will never request a full card number, CVC/CVV, password or confirmation code.

Refunds are also reviewed in cases of duplicate charges, confirmed payment without access, a technical inability to provide the Service, or an incorrect amount caused by the WinRate AI Service Administration.

The outcome of a sporting event, changes in odds, disagreement with an analytical conclusion, or the absence of a desired financial outcome do not, by themselves, indicate defective digital access and do not independently entitle the Customer to a full refund.

An approved refund is initiated using a method supported by the relevant payment provider. The time required for funds to be credited depends on the bank, Telegram, payment system or other participant in the payment process.

7. Customer Rights and Obligations

The Customer shall use the Service personally and in good faith, and shall not transfer access to third parties, circumvent technical restrictions, perform bulk copying or automated collection, resell access, or publicly distribute paid materials.

The Customer shall comply with age restrictions and the laws of the Customer’s location, independently evaluate analytical materials and make decisions at the Customer’s own responsibility.

The Customer has the right to receive paid access, contact support, receive information about the plan and payment, and exercise any other rights granted by law and this Offer.

8. WinRate AI Service Administration Rights and Obligations

The WinRate AI Service Administration shall grant digital access according to the selected plan, provide reasonable technical support and take measures to protect processed data.

The WinRate AI Service Administration may update algorithms, the interface, structure and composition of materials, carry out maintenance and engage contractors, while remaining responsible to the Customer to the extent required by law.

The WinRate AI Service Administration may temporarily restrict or terminate access in cases of confirmed fraud, unauthorised distribution of materials, interference with the Service, or another material breach of this Offer. Where reasonably possible, the WinRate AI Service Administration will notify the Customer and allow the breach to be remedied before restricting access.

9. Intellectual Property

The software, design, text, AI-generated analysis, selections, databases and structure of materials, logos and other WinRate AI elements are protected by intellectual property law and belong to the WinRate AI Service Administration or their respective rights holders.

Payment grants the Customer a limited, non-exclusive and non-transferable right to use the materials personally during the access term. No exclusive rights are transferred.

Commercial reproduction, publication, resale, access sharing, creation of a copycat service, removal of rights notices, and any use outside this Offer are prohibited without prior written permission.

10. Informational Nature and Limitation of Liability

Sporting events are unpredictable. Probabilities, odds, confidence levels, past results and AI-generated conclusions do not guarantee future outcomes.

WinRate AI materials are provided for informational and analytical purposes only and do not constitute financial, investment, betting or gambling advice. The Customer independently makes any decision outside the Service.

Source data may be incomplete, delayed or changed by suppliers. To the extent permitted by law, the WinRate AI Service Administration is not liable for losses resulting from the Customer’s decisions, actions of third parties, or failures involving Telegram, banks, payment systems, hosting providers or sports data suppliers.

Nothing in this Offer excludes or limits any liability that cannot lawfully be excluded or limited under mandatory law.

11. Personal Data and Payment Information

Personal data is processed only to the extent necessary to enter into and perform the Agreement, provide access and support, process payments, prevent abuse and comply with legal obligations.

The categories of data and processing procedures are described in the Privacy Policy at https://winrateai.win/legal/privacy.

Payment data is processed by the selected payment provider. WinRate AI does not receive or store the full bank card number, card expiry date or CVC/CVV.

12. Force Majeure

Neither party is liable for failure to perform caused by extraordinary and unavoidable circumstances, including natural disasters, armed conflict, government restrictions, or major communications or power failures, where those circumstances directly affect performance of the Agreement.

The affected party shall notify the other party within a reasonable period. The time for performance is extended in proportion to the duration and consequences of the relevant circumstances.

13. Electronic Communications

The parties recognise the legal validity of messages and documents sent through the Customer’s email address, support@winrateai.win, Telegram or the payment provider’s interface, where the sender and content can be reliably identified.

The Customer shall protect the confidentiality of the Customer’s email and Telegram account and promptly report any unauthorised access.

14. Amendments and Termination

The WinRate AI Service Administration may amend this Offer. A new version applies to payments made after its publication. The terms in effect at the time of payment continue to apply to an already paid access term unless an amendment improves the Customer’s position or is required by law.

The Agreement terminates when the paid access term expires, when both parties have fully performed their obligations, or in any other case provided by this Offer or applicable law.

15. Governing Law and Dispute Resolution

This Offer and the Agreement are governed by the laws of the Russian Federation. Mandatory consumer rights applicable to the Customer remain unaffected. This English version is provided for convenience. If it conflicts with the Russian-language version, the Russian-language version prevails to the extent permitted by applicable mandatory law.

Before initiating court proceedings, a party shall send a claim to support@winrateai.win. The WinRate AI Service Administration will respond within the period required by applicable law or, where no specific period applies, within 10 calendar days.

If a dispute cannot be resolved through negotiation, it shall be submitted to a competent court in accordance with the jurisdiction rules established by law.

16. WinRate AI Service Administration

WinRate AI is an informational and analytical service for sports events.
